Tokos Expert Terms & Conditions

These Terms & Conditions (“Terms”) govern the relationship between Tokos (“Tokos”, “we”, “us”, “our”) and any Expert, Service Provider, or Seller (“Expert”, “you”, “your”) offering services through the Tokos platform.
By creating an Expert account, listing services, or selling through Tokos, you agree to be bound by these Terms.

1. Role of Tokos
Tokos is a marketplace platform that connects travelers and clients (“Clients”) with independent Experts offering international mobility-related services.
Tokos:
• Is not a party to the service agreement between you and the Client
• Does not provide immigration, legal, or consulting services
• Does not guarantee results, approvals, or outcomes
All services are provided solely by the Expert under their own professional responsibility.

2. Expert Eligibility & Compliance
By using Tokos, you confirm that:
• You are legally authorized to offer your services
• You hold all required licenses, certifications, and professional accreditations
• You comply with all applicable laws, regulations, and professional rules in your jurisdiction
• You will not misrepresent your qualifications, experience, or authority
Tokos reserves the right to request verification documents and to suspend or remove listings that do not meet compliance requirements.

3. Listings & Service Information
You are solely responsible for:
• The accuracy of your listings, descriptions, pricing, and availability
• Clearly stating what is included and not included in your services
• Ensuring that your services comply with Tokos guidelines and marketplace standards
Tokos reserves the right to edit, reject, suspend, or remove any listing at its discretion.

4. Transactions & Fees
All transactions for services listed on Tokos must be processed through the Tokos platform.
• Tokos charges a marketplace fee on completed transactions
• Fees are disclosed separately and may change with prior notice
• Tokos does not control how Experts deliver services, only how transactions are processed
Experts are responsible for their own taxes, reporting, and compliance with local tax laws.

5. No Bypass / Non-Circumvention
Experts agree not to bypass Tokos.
This includes, but is not limited to:
• Accepting payments outside Tokos for Clients introduced via Tokos
• Redirecting Clients to off-platform payments or private agreements
• Encouraging Clients to cancel or avoid Tokos transactions
Any attempt to bypass Tokos may result in:
• Immediate suspension or termination of the Expert account
• Forfeiture of pending payouts
• Permanent removal from the platform
This clause remains enforceable even after account termination.

6. Client Relationship & Communication
Experts may communicate with Clients for the purpose of delivering services.
Experts must:
• Act professionally, respectfully, and transparently
• Respond within reasonable timeframes
• Protect Client data and confidentiality
Tokos may monitor communications for quality, compliance, and dispute resolution purposes.

7. Cancellations, Refunds & Disputes
Experts must clearly define their cancellation and refund policies in their listings.
In the event of a dispute:
• Tokos may act as a neutral facilitator
• Tokos reserves the right to temporarily hold funds
• Final responsibility for service delivery rests with the Expert
Tokos is not liable for service outcomes or Client decisions.

8. Scheduling & Third-Party Tools
Experts may use third-party tools (e.g. Calendly) for scheduling, provided that:
• Booking originates from Tokos
• Payments remain processed through Tokos
Experts are responsible for the proper configuration and use of their external tools.

9. Intellectual Property & Content
By listing on Tokos, you grant Tokos a non-exclusive right to:
• Display, promote, and market your listings
• Use your name, logo, and service descriptions for platform promotion
You retain ownership of your intellectual property.

10. Suspension & Termination
Tokos reserves the right to suspend or terminate an Expert account if you:
• Violate these Terms
• Engage in fraudulent, misleading, or unethical behavior
• Damage the reputation or trust of the Tokos marketplace
Termination may occur without prior notice in serious cases.

11. Limitation of Liability
To the maximum extent permitted by law:
• Tokos is not liable for indirect, incidental, or consequential damages
• Tokos does not guarantee earnings, visibility, or business results
• Experts use the platform at their own risk

12. Modifications to Terms
Tokos may update these Terms from time to time. Continued use of the platform constitutes acceptance of the updated Terms.

13. Governing Law
These Terms are governed by the applicable laws of the jurisdiction in which Tokos operates, without regard to conflict of law principles.

14. Platform Fees and Featured Promotion
Tokos applies a platform fee of 18% or more on each transaction completed through the platform. There are no upfront or fixed fees to list or sell services on Tokos; all fees are strictly performance-based and are only charged once a sale has been successfully completed. These platform fees cover, among other things, access to the Tokos marketplace, technological infrastructure, payment processing, IT support, platform maintenance, and ongoing organic marketing efforts to promote the marketplace and its services. In addition, Experts may choose to benefit from enhanced visibility through a featured promotion option, subject to an additional fee, which allows services to be highlighted among top sellers and actively promoted by Tokos through targeted campaigns, including paid advertising.
15. Prohibition of Direct Contact Outside the Platform
To ensure transparency, security, and fair use of the marketplace, Experts are strictly prohibited from displaying, sharing, or publishing any personal or professional contact information on Tokos, including but not limited to phone numbers, email addresses, external links, social media profiles, or websites. All purchases must be initiated and completed exclusively on the Tokos platform. Expert contact details are shared with the buyer only after the transaction has been successfully completed and payment has been confirmed, at which point communication may take place solely in relation to the purchased service. Any attempt to bypass the platform may result in corrective actions, including suspension or termination of the Expert account.
